The proposal, dated May 3, 2026, would see GameStop — led by CEO Ryan Cohen — absorb an online commerce platform with a far larger revenue base and broader category mix spanning handbags, watches, and auto parts alongside its collectibles and video game listings. Marketplace first reported the deal, citing an offer letter and accompanying proposal document published on GameStop's investor relations site.
How big is the gap between the two companies?
The size mismatch has drawn immediate skepticism from analysts covering both retail and e-commerce. Michael Pachter, who tracked GameStop at Wedbush Securities for more than 20 years, said he had expected Cohen to pursue a much smaller target.
"I thought he'd buy something for nine billion in cash, and instead he's trying to buy something for 50-plus billion in cash and stock," Pachter said.
Eric Talley, a professor at Columbia Law, framed the bid in starker terms. "It's kinda like a minnow attempting to eat a whale," he told Marketplace.
What does GameStop actually want with eBay?
In its proposal, GameStop outlined a thesis centered on physical retail. The chain's stores would serve as "intake" and "fulfillment" points for eBay sellers and buyers, according to the document — a hybrid model that would convert GameStop locations into drop-off and pickup nodes for a marketplace that currently operates without a retail presence.
Talley pointed to a second motive beyond logistics: capitalizing on GameStop's elevated equity value while it lasts.
"Another one is just that they want to try to monetize the value of their stock, which still has quite a bit of froth and bubbleness inside it, before that bubble bursts," Talley said. "And that's not a terrible strategy to pursue."
Where is the synergy — and where does it break?
The strongest overlap sits in collectibles: trading cards, retro hardware, and graded video games, where both companies already trade and where GameStop has been reinvesting under Cohen. Poonam Goyal, sector head and senior e-commerce and retail analyst at Bloomberg Intelligence, said that overlap is real but narrow.
"Some of the largest categories that eBay competes in, GameStop, just doesn't have those under its belt," Goyal said. Handbags, watches, and autos anchor a meaningful share of eBay's sales, and GameStop has no existing foothold in any of them.
Paul Nary, a management professor at the Wharton School, said unrelated acquirers rarely produce durable value. "Economies of scale and cost cuts, that doesn't do it for me," Nary said. "Maybe best case scenario they will be able to get a billion or two."
What happens next?
eBay's board now controls the timeline. Nary said fiduciary duty rules give any credible, premium-bearing offer a path to serious review.
"If this is an offer that can reasonably lead to creation of a lot of shareholder value, when they receive a high premium and close this deal, then the board is obligated to at least give it serious consideration," he said.
Neither GameStop nor eBay responded to Marketplace's requests for comment by publication. The eBay board's response — formal acceptance, rejection, or a counter-bid — is the next signal worth watching, alongside any updated valuation disclosure from GameStop showing how the cash-and-stock mix would be funded.
